Trade Companies

In the field of Trade Companies:

  1. We established, changed and dissolved trade companies;
  2. We established, implemented and erased branches of trade companies;
  3. We established and registered the Representation Offices of some foreign legal entities in Romania and we developed specific procedures for the extension of activity authorizations of these Representation Offices;
  4. We obtained the activity authorizations of the main offices and subsidiaries of the trade companies belonging to the trade companies and developed the specific procedures to extend these authorizations;
  5. We obtained the authorizations of building and installing of lighting sign boards for publicity signs of the trade companies, we kept evidence and ordered, currently and at due time, the payments regarding the taxes to use means of advertising and publicity;
  6. We took part in the meetings of the Administration Boards of the trade companies for which, with this occasion, we elaborated Reports of the meetings of the Administration Boards;
  7. We took part in the sessions of the General Meetings of the Shareholders or of Associates within the trade companies, for which, with this occasion, we elaborated Reports of the respective sessions of the General Meetings;
  8. We presented, at the request of some of or clients, the way we recommend that some legal provisions regarding the trade companies should be interpreted;
  9. We elaborated, at the request of some of or clients, presentations of some legal provisions of the Romanian legislation, particularly our presentations about the specific activity of our clients. Most of these presentations were made by using Microsoft Office, Power Point facilities;
  10. We elaborated the projects of mandates given to the Executive Managers or to other persons by the Administration Board or by other statutory organs of the trade companies;
  11. We elaborated the projects of Decisions of the Administration Boards or of the General Meetings regarding the organizing way of giving mandates among the members of the General Meetings, Administrations Boards or Executive Managers, depending on each case;
  12. We performed missions to check the legal situation of some trade companies in order to buy them (due diligence missions);
  13. etc.
